Under the LLP structure, a partner may avoid personal liability if they can prove that the non-recovery or loss was not caused due to their gross negligence, misconduct, or wrongful act. However, in a traditional partnership firm, partners generally have joint and several liability, which means each partner can be held personally responsible for the liabilities of the firm. This is one of the major differences between an LLP and a partnership firm. For businesses seeking proper legal and compliance guidance, experienced chartered accountant firms in Gurgaon like BMC Associates can help in choosing the right business structure.
